Our Principles
Our investment intake process is built on five principles:
-
Evidence over stories
-
Integrity first
-
Stage-gated control
-
Time discipline
-
Clear paper and auditable trails
We are aligned to a simple rule: if it cannot be verified, it cannot progress.
This submission process is designed for:
-
Asset owners / shareholders (operating businesses, projects, property, regulated assets)
-
Operators with demonstrable control and documented rights
-
Mandated sellers / authorised representatives with clear authority
-
Serious co-investors / strategic partners with a bankable execution path
We generally do not progress submissions from unmandated intermediaries who cannot demonstrate lawful authority, transparent fees, and verified control of the opportunity.
Who This Applies To
The Three-Step Supplier Journey
Step 1 — Pre-Screen Submission (Mandate Fit)
Objective: Confirm what the opportunity is, whether it fits our focus sectors, and whether it is ready for verification.
What you do
-
Submit the Pre-Screen form with a concise, factual summary:
-
Focus sector + jurisdiction + asset type
-
What is being offered (sale / JV / secured structure)
-
Why now, and what is being sought
-
Your role and authority to coordinate diligence
-
What we do
-
Perform a fast mandate and integrity screen
-
Categorise as Proceed to Verification, Pause, or Decline
Objective: Verify ownership, authority, rights, and material liabilities before any commitment or deep diligence.
Minimum Proof Pack includes:
-
Entity proof (registry extract / incorporation or equivalent)
-
UBO disclosure + ID documents
-
Authority to transact (resolution / POA / mandate letter)
-
Proof of rights (title, lease, licence, permit — as applicable)
-
Material liabilities disclosure (liens, disputes, tax/regulatory exposures)
Time discipline
-
If the Minimum Proof Pack cannot be provided within 10 business days of request, the file is paused until documentation is available.
What we do
-
Run verification checks and screening (KYC/KYB, sanctions, and baseline risk review)
-
Identify any deal-breaker gaps early
-
Decide whether the opportunity is ready for structured engagement
Step 2 — Verification (Minimum Proof Pack)
Step 3 — Indicative Structure & Decision Path
Objective: If verified, align on an execution pathway with disciplined scope, governance, and clear next steps.
What we may do
-
Issue an indicative structure note (non-binding), which may include:
-
Acquisition / partial buyout approach
-
JV / earn-in with milestones
-
Secured / staged deployment tied to evidence and control
-
Option frameworks where appropriate (time-boxed and proof-driven)
-
-
Define diligence scope, timebox, and decision gates
What you do
-
Support confirmatory diligence efficiently (data room, site access where relevant, operator engagement)
-
Maintain accurate documentation and transparent disclosures
We work with intermediaries, but transparency is mandatory.
-
Intermediary involvement must be declared upfront
-
Fees must be lawful, disclosed, documented, and clearly assigned (who pays)
-
Undisclosed commissions, side letters, facilitation expectations, or misrepresentation end the process immediately
Intermediaries & Fees (Disclosure Required)
Documentation & Compliance
All opportunities are screened for legitimacy, ownership transparency, authority to transact, and rights adequacy. We do not progress opportunities that rely on:
-
opaque ownership or concealed beneficiaries
-
unverifiable rights/licences/titles
-
undisclosed fees or informal arrangements
-
bribery, facilitation payments, or unjust structures
