Counterparty Engagement

Counterparty-first

Globally compliant

Mining .  Trade  .  Investment

Mezzarion operates a disciplined Counterparty Engagement Procedure (CEP) designed to reduce delays, prevent compliance failure, and ensure transactions are executable. We run two standardised engagement tracks depending on your role:

  • Buyer Onboarding & Deal Execution — for end buyers, off-takers, mandated buyers, trading houses, and refiners.

  • Supplier Onboarding & Pilot Process — for asset owners/operators, licensed exporters/aggregators, processors, and producers.

Each track includes clear stage-gates, required documentation, and defined decision outcomes—so counterparties know exactly what to provide, what to expect, and what happens next.

Buy-side and supply-side risks are different. Treating them as one generic “customer journey” creates document gaps, late-stage bank rejections, and avoidable disputes.

Mezzarion’s two-track model ensures:

  1. Faster clearance for legitimate counterparties

  2. Better protection against fraud, sanctions exposure, and documentary failures

  3. Cleaner contracting and execution handover

  4. Stronger corridor reliability over time

Why we run a two-track model

Track 1: Buyer Onboarding & Deal Execution

Who this is for

  • End buyers and industrial off-takers

  • Mandated buyers and buying offices

  • Trading houses, refiners, and institutional procurement teams

What you can expect

  • A clear pathway from onboarding to Term Sheet → FCO → SPA

  • Early alignment on product specs, delivery terms, inspection posture, and pricing logic

  • Up-front validation of payment approach to avoid late-stage instrument rejection

Buyer process (high-level)

Step 1 — Buyer Registration & Intent
We confirm buyer identity and intent, and establish basic commercial parameters and feasibility.

Step 2 — Buyer Term Sheet
We formalise commercial terms in a term sheet to lock scope, responsibilities, and the transaction pathway.

Step 3 — Offer & Contracting
Where applicable, Mezzarion issues a formal offer and proceeds to definitive contracting (SPA), including payment/instrument handling and execution planning.

Who this is for

  • Producers and asset operators

  • Licensed exporters/aggregators

  • Processors and manufacturers

  • Mining operations and supply partners

What you can expect

  • A structured onboarding that protects both sides and validates performance

  • A pilot-first approach before scale commitments

  • Clear tiering after the pilot (Tier 1 / Tier 2 / Not Suitable) based on delivery, documentation, and reliability

Supplier process (high-level)

  • Step 1 — Supplier Registration & KYC
We collect and verify supplier identity, operating footprint, licensing position, and basic capacity claims.

  • Step 2 — Pilot Structure & Agreement
We define a realistic pilot: quantity, location, documentation, inspection expectations, and payment route.

  • Step 3 — Pilot Execution & Performance Review
We execute the pilot with documented controls and then assign supplier tiering based on actual performance and compliance.

Track 2: Supplier Onboarding & Pilot Process

Core standards across both tracks

Regardless of track, Mezzarion operates with clear integrity and compliance boundaries:

  • Counterparty due diligence (KYB/KYC) and sanctions screening as required

  • Document integrity and audit trail discipline

  • Transparent fee governance for intermediaries (where applicable)

  • Defined escalation and stop-work triggers for exceptions

Timelines vary based on jurisdiction, documentation readiness, and risk profile.

  • Acknowledgement of enquiry: < 24 hours

  • Initial triage and track assignment: 1–2 business days

  • Diligence decisioning: 3–10 business days (risk-based)

  • Term sheet / pilot structure: 5–10 business days after required inputs

  • Definitive contracting: dependent on counterparties and instrument/escrow requirements

Service levels (indicative)

Intermediaries and mandates

If you are an intermediary, mandate holder, or introducer, your engagement is subject to registration and disclosure before deal terms proceed. All fees and commissions must be transparent and paid through controlled, documented mechanisms.
