Our Position: Principal-Led, Bank-Grade, Anti-Daisy-Chain
Mezzarion is a principal-led institution. We contract directly with principals and counterparties. Intermediaries are compensated for real outcomes, under strict compliance rules.
We will not engage in:

Broker chains (“daisy chains”) where the true principal is hidden

Mandate theatre, “exclusive rights” over regions/sectors, or blanket NCNDAs
-
Embedded commissions in pricing (Mezzarion prices directly with the principal)
-
Multi-payee commission structures or payment diversion requests
-
Cash or crypto commission payments
-
Any conduct involving bribery, kickbacks, facilitation payments, or sanctions evasion
If a deal requires crossing those lines, it is off-limits for Mezzarion. We will design a different structure, partner, or market.
To protect transaction integrity and to remain bankable, Mezzarion uses a tiered engagement model.
How We Work With Intermediaries (Three-Tier Engagement)
The Three-Tier Engagement
Tier 3 — Intake Only (Unscreened)
Who it is for: New/unknown intermediaries and early-stage leads.
What you get: A fast filter and response.
What you do not get: calls, meetings, documents, or counterparty disclosures.
Minimum Intake Requirements (in writing):

Principal legal name and country (buyer/supplier/investor/asset owner)

Opportunity type: trade / mining / investment
-
Product or asset summary (spec, location, status)
-
Indicative volume or ticket size and timing
-
Preferred commercial structure (Incoterm / JV / acquisition / placement)
-
Decision-maker contact (name + corporate email + phone)
If you cannot provide this, we do not proceed.
Who it is for: Team members who want to observe and support execution (e.g., to validate Mezzarion’s legitimacy or help coordination).
What you get: Controlled access to selected calls and/or limited documents, subject to screening and undertakings.
What you do not get: fee rights or payee status.

Signed participant undertaking (confidentiality + conduct rules)
Tier 2 participants are recorded as participants for access and traceability only.
Tier 2 — Transaction Participant
(Observer / Team Member)
Tier 1 — Lead Intermediary (Approved Payee / Fee Claimant)
Who it is for: Intermediaries seeking formal fee protection, non-circumvention protection, and payment eligibility.
What you get: Bank-grade engagement under Mezzarion’s standard agreements, where scope is defined and confirmed in writing.
Requirements:

Full KYC pack (individual or company, including beneficial ownership where applicable)

Sanctions/PEP/adverse media screening clearance
-
Signed Mezzarion introducer agreement (Mezzarion standard)
-
Verified bank account details in the Lead Intermediary’s legal name
Only Tier 1 Lead Intermediaries are eligible for payment (subject to written confirmation and deal performance).
Intermediaries often operate in teams. We recognise the reality—but we keep it bankable.
Non-Negotiable Rule: One Lead Intermediary Per Scope

Mezzarion recognises one Lead Intermediary per defined scope.

Mezzarion pays one payee only (the Lead Intermediary).
-
Mezzarion does not manage internal splits among team members.
-
Team members can be included as Transaction Participants (Tier 2) for access, not as payees.
Why This Rule Exists
Multi-payee structures and undisclosed broker chains are a primary cause of:

conflicting commission claims
-
payment diversion fraud
-
failed KYC/AML reviews
-
bank/financier refusal
-
transaction collapse
Mezzarion chooses bankability and execution certainty over broker comfort.
Multi-Party Deals: Intermediary Teams

Fee Principles (Outcome-Driven; Confirmed in Writing)
Mezzarion only rewards intermediaries for profitable, completed outcomes—not promises.
Core fee principles:

No fee exists unless confirmed in writing by Mezzarion for a defined scope

Fees are payable only upon successful performance and settlement (cleared funds received by Mezzarion, unless expressly agreed otherwise)
-
The Lead Intermediary is the sole payee recognised by Mezzarion
-
We do not embed intermediary fees into pricing—Mezzarion negotiates pricing directly with the principal
Important: Submitting documents or completing onboarding does not guarantee approval, fee protection, or deal closure.
Mezzarion operates under strict integrity and compliance controls consistent with banks, insurers, and institutional partners.
You must not:

offer or request bribes, kickbacks, facilitation payments, or unlawful advantages
-
involve sanctioned individuals, entities, or jurisdictions
-
misrepresent mandates, ownership, permits, volumes, or capacity
-
circulate Mezzarion documents to third parties without permission
-
introduce hidden parties or attempt to “chain” intermediaries
-
Any such conduct results in immediate disengagement and may be reported where required by law or policy.
